Terms and Conditions




Buyer             The legal person who buys or agrees to buy the goods from the Seller.


Seller              Mr Lemonade Alternative Drinks Ltd, based at 23 Greenshield Industrial Estate, Bradfield Road, E16 2AU, London, United Kingdom.


Conditions    The terms and conditions of sale as set out in this document and any special terms and conditions agreed in writing by the Seller.


Goods            The articles which the Buyer agrees to buy from the Seller.



1. Conditions


1.1      These Conditions shall form the basic contract between the Seller and the Buyer in relations to the sale of goods, to the exclusion of all other terms and conditions including the Buyers standard conditions of purchase or any other conditions, which the Buyer may purport to apply under order or confirmation of order or any other document.


1.2      All orders for goods shall be deemed to be an offer by the Buyer to purchase Goods from the Seller pursuant to these Conditions.


1.3      Acceptance of delivery of goods shall be deemed to be conclusive evidence of the Buyer’s acceptance of these Conditions.


1.4      These Conditions may not be varied except by the written agreement of (a director of) the Seller.


1.5      These Conditions represent the whole of the agreement between the Seller and the Buyer. They supersede any other conditions previously issued.


1.6      If the Buyer is a Company or Trust, the director(s) or trustees signing this contract, in consideration for Mr Lemonade Alternative Drinks Ltd agreeing to supply products and grant credit to the Buyer at their request, also sign this contract in their personal capacity and jointly and severally personally undertake as principal debtors to Mr Lemonade Alternative Drinks Ltd the payment of any and all monies now or hereafter owed to the customer to Mr Lemonade Alternative Drinks Ltd and indemnify Mr Lemonade Alternative Drinks Ltd against non-payment by the Buyer. 

1.7      Any personal liability of a signatory hereto shall not exclude the customer in any way whatsoever from the liabilities and obligations contained in this contract. The signatories and Customer shall be jointly and severally liable under the terms and conditions of this contract and for payment of all sums due hereunder. 

1.8      All contractual agreement made between the Seller and the Buyer is subject to English Law and under the jurisdiction of the English Courts.


2. Price


2.1      The price of the goods shall be the price agreed between Seller and Buyer in advance. Price is exclusive of VAT that shall be due at the rate in force on the date of the Seller’s invoice.


2.2      The Buyer shall keep all prices and terms negotiated with the Seller in strict confidence.


2.3      Prices may be subject to an annual increase. 


3. Payment and Interest


3.1      Payment Terms strictly cash on delivery or pre-paid for the first three months of trade. After this, your account will be reviewed and a 30 days term will be given at the discretion of Mr Lemonade Alternative Drinks Ltd and monthly credit required may vary.


3.2      Approved applications will have 30 days credit from the issue date of the invoice (Standard).


 3.3     Any special requirement regards payment dates must be agreed before the purchase of the products.


3.4      Payments of the price and VAT must be in accordance with the date stipulated by the Seller.


3.5      Failure of payment on time will result in additional charges (Interest). Please see the table below.


3.6      Mr Lemonade Alternative Drinks Ltd reserves the right to remove any credit facility if payments are frequently late or unpaid. Accounts passed to debit collectors will be automatically returned to pro forma and excess charges incurred by doing so passed to the customer. We do accept card payment and you will find this information on the link sent via our invoicing system.

0-14 --> 2%

15-28 --> 4%

29-56 --> 6%

57+ --> 10%


4. Title of Goods


4.1      Goods are maintained to be the property of Mr Lemonade Alternative Drinks Ltd till full payment is made.


4.2      If such payment is overdue Mr Lemonade Alternative Drinks Ltd may recover the goods or any part of them and may enter upon the Buyer’s premises for this purpose. Such payment shall become overdue immediately upon commencement of any act or proceedings in which the Buyer’s solvency is involved.

4.3      If the Buyer prior to payment sells the Seller’s goods, the proceeds of the sale (insofar as they do not exceed the amount of the indebtedness) shall be the property of the Seller and shall be held in trust by the Buyer for the Seller. Orders may not be supplied to the customers whose accounts are overdue unless prior arrangements of the settlement are made. 

4.4      The Customer, including any reasonable legal fees or debt collection agency fees, shall pay for any expenses, disbursements and legal costs incurred by Mr Lemonade Alternative Drinks Ltd in the enforcement of any rights contained in this contract. 

5. Delivery


5.1      The Seller dispatches the Goods on an agreed date but does not guarantee to do so. The time of delivery shall not be of the essence of the contract.


5.2      The Buyer shall make all arrangements necessary to take delivery of the goods on the day notified by the Seller for delivery. 


5.3      The Seller shall not be liable to the Buyer for any loss or damage whether arising directly or indirectly from the delivery or short delivery of the goods. If short delivery does take place, the Buyer undertakes not to reject the goods, but to accept the goods delivered as part performance of the contract.


5.4      If the Buyer fails to take delivery of the goods on the agreed delivery date the Seller has the right to store and insure the goods and charges the Buyer the reasonable costs of delivery timing and storage.


5.5      Delivery of the goods is deemed to have taken place if the goods in question are left within any part of the Buyer’s premises (receptions, concierges, etc.) irrespective of whether the Buyer is present at the time. 


5.6      The Seller and its employees are under no obligation to deliver the goods to the cellar or storage area of the Buyer.


6. Claims


6.1      On the occasion that there may be a discrepancy or shortage of the order, or if the goods are damaged, the buyer must advise D Supply Limited within 3 working days of the delivery.


7. Faulty or Damaged Products


7.1      We are happy to replace faulty or damaged products that were received. Please ensure that item(s) are available for collection and please provide any photo of the damaged product. Please always sign for any damaged delivery as unchecked or damaged. Mr Lemonade Alternative Drinks Ltd cannot credit or replace any delivery, which was signed as OK


8. Refund


8.1      No returns will be accepted unless prior arrangement has been made. Mr Lemonade Alternative Drinks Ltd cannot credit item(s) already price marked and/or in an unsellable condition.


9. Sell-By Date


9.1      The buyer must ensure correct stock rotation, as we are unable to credit stock, which remains unsold after “best before” or “used by” date.


10. Re-Wholesaling


10.1    The Buyer is strictly prohibited from actively selling the Seller’s goods to other wholesalers without explicit permission to do so from the Seller.


11. General Data Protection Regulation (GDPR)
11.1    Your privacy is important to us. This Privacy Statement describes the information you provide us when using our services. By filling this application form you are accepting and consenting to the practices described in this policy.
12. The information we collect
12.1    This policy (and any other document referred to in it) sets out the basis on which any personal data we collect from you, or that you provide to us, will be processed by us. Please read the following carefully to understand our views and practices regarding your personal data and how we will treat it.

12.3    We collect personally identifiable information relating to you (company) including name, address, phone number, e-mail address, when you contact us to obtain information relating to us or our services, communicate with us by phone or e-mail.

12.4    We receive Personal Information from third parties, such as trading partners who already have your details stored on their database. They only share the information needed to process our functions.
13. How we normally use information about you
13.1    We will only use your Personal Information for the purpose (s) for which you provide it to us including, for example, to:

(a) respond to your inquiries;
(b) handle orders, deliver items and process payments;
(c)  communicate with you about news, orders, products, services and promotional offers;
(d) update and maintain our records;

13.2    We will not rent or sell your Personal Information to any third party without your permission.
14. Agents
14.1    From time to time we employ other companies to perform functions on our behalf including analyzing and processing receivable payments. They have access to Personal Information needed to perform their functions, but may not use it for other purposes.  You agree that we have the right to share your Personal Information with them.
15. Your Rights
15.1    You have the right to ask us not to process your personal data for marketing purposes. We will usually inform you (before collecting your data) if we intend to use your data for such purpose or if we intend to disclose your information to any third party for such purposes. You can exercise the right at any time by contacting us using the details set out in section 16 below.

15.2    The Data Protection Act 1998 gives you the right to access information held about you. Your right of access can be exercised in accordance with the Act. Any access request will be subject to a fee of £10 to meet our costs in providing you with details of the information we hold about you.

17.1    We reserve the right to revise this policy or any part of it from time to time. Please review the privacy policy periodically for changes. Unless stated otherwise, our current privacy policy applies from time to time to all the information that we have about you.

19. Alterations on T&C’s


19.1    Terms and Conditions can be changed without any notice. All buyers will be informed of any change will be made.
